1. About this Policy

1.1 This Acceptable Use Policy (the “Policy”) sets out the rules that apply when you and your Authorised Users access or use the DataSync platform (the “Service”), operated by Blackstone DataSync Ltd (“we”, “us” or “our”).

1.2 This Policy forms part of, and is incorporated into, the DataSync platform Terms and Conditions (the “Terms”). Capitalised terms used but not defined in this Policy have the meanings given in the Terms.

1.3 You are responsible for ensuring that all of your Authorised Users comply with this Policy. A breach of this Policy by an Authorised User is treated as a breach by you.

1.4 We may update this Policy from time to time in accordance with the variation provisions of the Terms. The current version is always available through the Service.

2. General principle

2.1 You must use the Service lawfully, responsibly, and only for the legitimate business purposes permitted by the Terms. You must not use the Service in any way that is unlawful or fraudulent, or that has any unlawful or fraudulent purpose or effect, or in any way that harms us, the Service, or any other person.

3. Prohibited data and content

You must not upload to, input into, or process through the Service any data or content that:

(a) you do not have all rights, licences, consents and permissions necessary to upload and to authorise us and our Sub-processors to process;

(b) consists of special category personal data, personal data relating to criminal convictions and offences, or payment card data, unless expressly agreed in writing with us;

(c) infringes the intellectual property rights, privacy rights, or other rights of any person;

(d) is unlawful, defamatory, obscene, abusive, discriminatory, or otherwise objectionable;

(e) you are under a duty of confidentiality in respect of, where uploading it would breach that duty;

(f) contains any virus, malware, or other harmful or malicious code; or

(g) is subject to export controls, sanctions, or other regulatory restrictions that would be breached by processing it through the Service.

4. Prohibited activities

You must not, and must not permit any person to:

(a) copy, modify, reverse engineer, decompile or disassemble the Service or any part of it, or attempt to derive its source code, models, algorithms, or the structure or content of the DataSync EDM;

(b) use the Service, or any output of it, to build, train, or improve a competing product or service, or to benchmark against a competing product;

(c) resell, rent, lease, sublicense, or otherwise make the Service available to any third party, except for the permitted use for your own clients described in the Terms;

(d) circumvent or attempt to circumvent any usage limits, access controls, authentication, or security measures;

(e) access or attempt to access any account, data, or part of the Service that you are not authorised to access;

(f) carry out any penetration testing, vulnerability scanning, or other security testing of the Service without our prior written consent;

(g) introduce any virus, malware, or other harmful code, or otherwise interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure;

(h) use any automated means, such as scraping or crawling, to access or extract data from the Service, except through functionality we expressly provide;

(i) share account credentials, or allow the Service to be used by anyone other than an Authorised User;

(j) impose an unreasonable or disproportionately large load on the Service or its infrastructure; or

(k) use the Service in breach of the Terms or any applicable law, or to do, facilitate, or encourage anything illegal or harmful.

5. Acceptable use of the AI features

5.1 The Service uses our proprietary AI models together with third-party large language model Sub-processors, and transmits the structure of source and target systems plus limited sample values to those Sub-processors. When using the AI features of the Service, you must not:

(a) input any data that you are not permitted to disclose to us or to our Sub-processors;

(b) rely on, finalise, export, deliver, or otherwise act on any output of the Service without carrying out the review and verification required by the Terms;

(c) use the Service to generate, or attempt to generate, any output that is unlawful, infringing, deceptive, harmful, or misleading;

(d) attempt to manipulate, probe, reverse engineer, or extract the underlying models, including through prompt injection or model-extraction techniques; or

(e) represent any output of the Service as having been independently verified, validated, or professionally reviewed when it has not.

5.2 You remain responsible for all data you input into the Service and for all use you make of its outputs, as set out in the Terms.

6. Fair use and resource limits

6.1 You must use the Service within any usage limits set out in your Order or otherwise notified to you. We may apply reasonable technical limits to protect the Service and its users, and may contact you to agree appropriate arrangements if your usage materially exceeds the normal expected use for your plan.

7. Reporting misuse

7.1 If you become aware of any actual or suspected breach of this Policy, or of any security vulnerability or misuse of the Service, please report it to us promptly at info@datasyncdq.com.

8. Consequences of breach

8.1 If you or any Authorised User breaches this Policy, we may take any action available to us under the Terms, including suspending or restricting access to the Service, requiring the breach to be remedied, removing or disabling access to offending content or data, and, in serious or repeated cases, terminating the Terms.

8.2 We will use reasonable efforts to act proportionately, but we may act immediately and without prior notice where we reasonably consider it necessary to protect the Service, our other customers, or any third party, or to comply with law.

8.3 Nothing in this Policy limits any other right or remedy available to us under the Terms or at law.
